Our Business Model

StratGrid will target data center model training and inference customers as the primary revenue driver through long term power purchase agreements, while also hosting secondary services including high-performance computing/scientific workloads, colocation, and ancillary offerings (storage, bare-metal, burst GPU access).

The business will generate revenue through various services, including colocation and specialized offerings for data center application hosting and HPC. Advanced cooling technologies, such as direct liquid and immersion cooling, will be implemented to handle high heat loads of modern HPU/GPU/BTC racks efficiently, and modular waste-heat reuse technology to generate additional power as well as carbon sequestration technology development will be a part of our core net zero sustainability strategy.

The Project

StratGrid Inc. is developing a 140 Megawatt "behind-the-fence" combined-cycle gas turbine power generation facility paired with a build to suit hyperscale hosting campus in southern Alberta. The project will leverage Alberta's world-leading vast stranded natural gas supply and preferential pricing, established industrial permitting, cool climate, low corporate tax rate, provincial policy strategy and abundant scalable land base to attract high value blue chip end users.

The facility will target the growing demand for Artificial Intelligence ("AI"), high-performance computing ("HPC") and other high-density workloads within North America.

Michael Hibberd

Interim Chair of the Board

Mr. Hibberd is currently Chairman of the Board of Canacol Energy Ltd, a natural gas and oil exploration and production company with operations focused in Colombia. Mr. Hibberd brings over 40 years of industry and senior leadership experience to the Corporation. He is also currently Vice Chairman of Sunshine Oilsands Ltd., Chairman of PetroFrontier Corp. and serves as a board member of D2 Lithium Corp. Formerly, he was Chairman of Heritage Oil Plc, Heritage Oil Corporation and Greenfields Petroleum Corporation; and former Director of Montana Exploration Corp., Avalite Inc., CanAsia Energy Corp., Challenger Energy Corp., Deer Creek Energy, Iteration Energy Ltd., Pan Orient Energy Corp., Rally Energy Corp., Sagres Energy, Skope Energy Inc. and Zapata Energy Corporation. For over 28 years, Mr. Hibberd has been Chairman and CEO of MJH Services Inc., a corporate finance advisory firm. Mr. Hibberd holds a BA and an MBA from the University of Toronto and an LLB from Western University.

David Sealock

Co-Founder, Director, Chief Executive Officer

From January 2020 to September 2025 Mr. Sealock co-founded and served as Chief Executive Officer and Chair of the Board of Sky Quarry Inc., an innovative hydrocarbon remediation and waste to energy company utilizing discarded asphalt roof shingles to produce crude oil. Under Mr. Sealock's leadership Sky Quarry raised over $35M in various equity offerings, including a record $19M from over 7,500 retail investors under the SEC's Regulation A crowdfunding framework. In under four years Sky Quarry went from a proof-of-concept startup to meeting the asset and revenue qualifications for "going public" on American stock exchanges and in October 2024 commenced trading on NASDAQ capital markets. Previously from March 26, 2018 to January 2020, Mr. Sealock served as CEO for Petroteq Energy. From January 2015 until joining our company, Mr. Sealock also served as President of Autus Ventures, Inc. where he established equity financing processes for startup and intermediate oil and gas companies and managed strategic planning and portfolio optimization. From January 2017 until August 2017, he was Vice President of Research & Development at Petroleum Technology Alliance Canada (PTAC), a Canadian hydrocarbon industry association that serves as a neutral non-profit facilitator of collaborative R&D and technology development. There he managed the coordination and services to facilitate the implementation of specific methane related projects. From August 2014 until December 2015, Mr. Sealock served as President and Chief Operating Officer of Sulvaris Inc. During his tenure at Sulvaris, he collaborated to deliver equity financing and JV financing to recommence project construction. From 2008 to 2014, Mr. Sealock was the Executive Vice President of Sunshine Oilsands, Ltd., and was promoted to President and Chief Executive Officer (Interim) from 2013 to 2014, where he managed daily operations for engineering, construction, technology, operations, regulatory, human resources, investor relations, health, safety & environment, marketing, supply chain management, IT & systems, and corporate governance. Mr. Sealock holds a bachelor's degree, Business Management and is a Registered Engineering Technologist with ASET. Mr. Sealock brings a strong background in technology-related start-up operations, regulatory compliance and corporate governance, and adds significant strategic, business and financial experience.

Dustin Morissette

Co-Founder, Director, President, Chief Operating Officer

Mr. Morissette is a senior operations and corporate development executive with more than 20 years of leadership experience across Canada's energy, industrial services, and infrastructure sectors. He has built a reputation for leading high-performance teams, delivering complex capital programs, and driving business growth within both private and publicly listed companies. From 2017 to 2025, Mr. Morissette served as a Senior Corporate Development Manager and then on to Chief Operations Officer of Radium Technologies Inc., a Tier-2 general contracting company with multi-division operations across Western Canada. During his tenure, he led significant organizational expansion, operational scaling, and commercial diversification contributing to revenue growth of more than 100%. His leadership responsibilities included project execution, corporate development, strategic client acquisition, and oversight of multi-disciplinary technical teams. From 2009 to 2017, Mr. Morissette was Senior Manager of Subsurface & Commercial Operations at Sunshine Oilsands, a dual-listed public issuer on the TSX and Hong Kong Stock Exchange. In this role, he supported IPO readiness, corporate governance reform, and continuous disclosure processes, working closely with executive leadership, legal counsel, and external advisors. He oversaw major operational and infrastructure programs, provided high level oversight of civil and facility development, and aligned operational, regulatory, and commercial priorities to meet public company requirements. Over his career, Mr. Morissette has managed or contributed directly to more than $800 million in capital projects, alongside indirect oversight of approximately $1.2 billion in additional development programs. His portfolio includes civil and facility construction, energy infrastructure, thermal oil operations, corporate and commercial development, and multi phase project execution. He has also managed operating budgets exceeding $25 million annually, delivering strong safety performance, operational reliability, and measurable commercial growth. Mr. Morissette has extensive experience in Indigenous relations, stakeholder engagement, and the negotiation of major commercial agreements including master service agreements, natural gas transportation contracts, market-access arrangements, supply contracts, and Indigenous partnership frameworks. He is recognized for cultivating strong internal culture, implementing effective project controls, and enhancing cost visibility across large capital programs.

Darryl Delwo

Director, Chief Financial Officer

From May 2020 to September 2025 Mr. Delwo served as Vice President Finance, and later as Chief Financial Officer, of Sky Quarry Inc. Mr. Delwo's role proved crucial to the success of Sky Quarry in providing accurate and timely financial information and comprehensive reporting, drafting business plans and financial models, and developing internal controls and procedures to meet the stringent audit and financial reporting rules and deadlines for companies raising public equity and later for publicly traded companies. Previously, from 2018 to 2020, Mr. Delwo served as CFO of Noralta Technologies Inc., a SaaS based monitoring firm primarily servicing the oil & gas market. From March 2016 to July 2018, Mr. Delwo was the consulting finance leader providing strategic financial and operational turnaround initiatives including to Trilogy Net, Fratello Group of Companies, and Planit Builders. From October 2014 to March 2016, Mr. Delwo was Controller and Acting CFO for the start-up company Sulvaris Inc. supporting the venture funding to recommence project construction. Mr. Delwo holds a CPA, CMA designation and Bachelor of Commerce, Accounting Major from Athabasca University and in 2022, was distinctly honored for his professional achievements, dedication and exceptional service to the CPA profession.

Todd Reain

VP Regulatory, Stakeholder & Land Management

Mr. Reain is a strategic senior leader with over 20 years of experience advancing multi-billion-dollar energy projects and unlocking investment opportunities in Canada's energy sector. Known for his ability to navigate complex negotiations, align multi-stakeholder interests, and deliver measurable returns, he has a proven track record of transforming complex projects into profitable, investment-ready outcomes. As President of White Reain Consulting Inc., Mr. Reain has advised executives, investors, and communities on projects of national significance. He has led consultation and strategic engagement for a $20-billion carbon capture and storage project, the largest in Canadian history, working with more than 25 Indigenous communities. Previously, Mr. Reain served as Manager of Indigenous and Government Relations at Serafina Energy Ltd., where he led and partnered with multidisciplinary teams to coordinate and secure approvals across all active company projects, playing a significant role in its $2.3-billion transaction. Earlier, with Sunshine Oilsands Ltd., he oversaw Indigenous and stakeholder relations for major energy developments, successfully negotiating long-term relationship agreements, project approvals, and international partnerships. Over the course of his career, Mr. Reain has played a key role in significant initiatives, serving as Stakeholder, Regulatory, and Surface Land Advisor at Everest Canadian Resources Corp., where he was pivotal in securing an asset valued at over $300 million. Additionally, at Renergy Petroleum Canada Co. Ltd., he established the Surface and Mineral Land departments during a strategic $180-million project acquisition, focusing on Indigenous consultation and stakeholder engagement, and ensuring project success and regulatory adherence. Respected for his collaborative and results-driven leadership, Mr. Reain continues to deliver strategic growth and long-term economic value, building high-impact partnerships and shaping projects that attract investment, maximize returns, and drive transformative outcomes across Canada's energy sector.

Travis Schneider

VP Corporate Affairs, Corporate Secretary

Mr. Schneider served as a Director and Audit Committee Chair of Sky Quarry Inc from May 2020 to January 2024. In addition to his governance, audit and financial reporting duties, Mr. Schneider was directly responsible for the research, drafting and development of Sky Quarry's public and private securities offering documents and marketing materials, maintenance of corporate and regulatory matters, contract review, business development and analysis, and preparation of securities exchange listing and continuous disclosure documents. Previously he served as a director of Petroteq Energy Inc, a publicly traded company on the TSX Venture Exchange (TSXV) from December 2011 to March 2020. Most recently he served as Manager of Corporate Affairs for AgriMarine Holdings Inc. from October 2008 to November 2020. AgriMarine was a publicly traded company on the TSXV and later on the Canadian Securities Exchange from 2009 until its acquisition by Dundee Corporation in 2015. During his time at AgriMarine Mr. Schneider coordinated reports to senior management and the board of directors, assisted with audit and financial reporting and business planning, and was responsible for corporate regulatory maintenance and compliance, maintenance of license and permits, liaison with legal counsel, and matters involving human resources and information technology. Mr. Schneider brings a strong background in startup operations, regulatory compliance and corporate governance and adds significant strategic, business and financial experience.

Kevin Sawatzky

VP Finance

Mr. Sawatzky is an accomplished finance executive with more than 25 years of experience leading high-performance teams and driving financial, operational, and strategic transformation across public and private companies in Canada and the United States. His career spans senior roles in corporate finance, operational turnaround, business valuation, risk management, and cross-functional leadership, with a demonstrated record of improving financial performance, strengthening governance, and enabling sustainable growth. Mr. Sawatzky has advised and supported organizations with annual revenues ranging from $20 million to more than $170 million, providing expertise in financial planning and analysis, acquisition due diligence, purchase price allocation, capital structure review, and integration of acquired entities. His work includes developing advanced financial models, improving reporting accuracy, restructuring FP&A functions, and implementing systems and processes that enhance organizational clarity and accountability. He has worked extensively with public companies, including leadership roles with Black Diamond Group Ltd. and Perma-Pipe International Holdings, where he supported governance reporting, audit readiness, regulatory compliance, and enterprise-wide financial controls. His efforts resulted in major operational efficiencies, including reductions in breakeven revenue, accelerated financial close cycles, improvements in inventory management, and increased reporting transparency for senior leadership and boards. Mr. Sawatzky also brings significant experience in turnaround management, having uncovered and resolved prior-period financial irregularities within multiple organizations through advanced analytical review, risk assessment, and controls remediation. His background includes managing multi-entity reporting structures, leading finance teams of up to 17 professionals, standardizing enterprise processes, and creating governance-aligned financial dashboards and performance frameworks. As a consultant, Mr. Sawatzky has been retained by private equity groups, corporate boards, and business owners to provide independent financial analysis, business valuations, operational restructuring, and strategic counsel. He has a proven ability to communicate across technical and non-technical teams, align stakeholders, and build financial systems that enable confident decision-making. Mr. Sawatzky holds degrees in Finance/Accounting and Marketing from the University of Northern Iowa, as well as professional training in Business Valuation from the American Society of Appraisers and the Canadian Securities Course from the Canadian Securities Institute. He has served on multiple boards and industry associations and is recognized for his integrity, leadership, and commitment to high-performance organizational culture.
